About these terms
These Coaching Terms (the "Terms" or "this Agreement") apply to all 1:1 coaching programmes sold by VhoFit Limited. By ticking the terms checkbox at checkout and completing payment, you agree to these Terms. Please read them carefully before purchasing.
- The Coach — VhoFit Limited, a company registered in Hong Kong, represented by Vincent, trading as VhoFit ("VhoFit", the "Coach", "we" or "us"). Registered address: Unit 2904-05, 29/F, Universal Trade Centre, 3 Arbuthnot Road, Hong Kong S.A.R. Email: vhofitness@gmail.com.
- The Client — the person who purchases a coaching programme (the "Client" or "you"). Your name, email and payment details are those you provide at checkout.
- Programme and payment option — the programme length (12 weeks or 24 weeks), the price, and the payment option (pay in full, instalments, or a deposit on an instalment plan) are those you select at checkout. Your checkout page and receipt form part of these Terms.
I. Term
These Terms run for the length of the selected programme, unless ended earlier under Section IV.3.
- I.1
Effective Date
The date you complete checkout.
- I.2
Programme Start Date
The date of your kick-off call, which is when coaching begins. The Coach will confirm this date to you in writing.
- I.3
Programme Length
12 weeks or 24 weeks from the Programme Start Date, as selected at checkout.
- I.4
End Date
The day the Programme Length runs out, counted from the Programme Start Date. The End Date only moves later if coaching is paused under Section IV.3.5 or the Coach is absent under Section IV.3.4. The Coach will confirm the End Date in writing. Coaching services end on this date.
- I.5
Renewals
- I.5.1
You may ask to renew at the end of your programme. Renewal is optional for both parties and is never automatic.
- I.5.2
A renewal is a new purchase under the version of these Terms in place at that time, and starts when your new checkout is completed.
- I.5.3
Instead of an onboarding call and a kick-off call, a renewal includes one (1) review call to go over your results and set goals for the next programme.
- I.5.4
Renewal pricing may differ from the prices for new clients.
- I.5.1
II. Compensation
- II.1
Payment
The Client agrees to pay the total programme fee shown at checkout. All payments are processed by Stripe. Fees are in Hong Kong dollars; any currency conversion or bank charges on the Client's side are the Client's responsibility.
- II.2
Payment Schedule
- II.2.1
Pay in full
The full fee is charged at checkout.
- II.2.2
Instalments
The first instalment is charged at checkout. Remaining instalments are charged automatically to the Client's saved card on the schedule and for the number of payments shown at checkout, after which charges stop.
- II.2.3
Instalments are a way of paying, not a monthly plan
The Client commits to the full programme fee at checkout. The full fee remains owed even if the Client stops using the services, ends coaching early, or cancels their card.
- II.2.4
Deposit
On an instalment plan, the Client may pay the first instalment at checkout as a deposit to secure a place on a programme that starts at a later date. The deposit counts toward the programme fee as the first instalment. Once the Programme Start Date is confirmed, the Coach will send the Client a separate link to set up the remaining instalments, which are charged automatically to the Client's saved card starting one payment interval after the Programme Start Date. The deposit can be refunded within 14 days of paying it and is non-refundable after that, as set out in Section IV.3.6.
- II.2.1
- II.3
Additional Payments
Services outside the scope in Section III (for example, extra calls beyond what is included, or a programme extension) will be quoted and agreed in writing before any charge is made.
- II.4
Late and Failed Payments
- II.4.1
If an instalment fails, Stripe will retry the payment and email the Client to update their card.
- II.4.2
The Client must resolve a failed payment within 7 days.
- II.4.3
If a payment remains unpaid after 7 days, the Coach may pause all coaching services, including WhatsApp support and app access, until the payment is made. Paused time is not added to the end of the programme.
- II.4.4
If a payment remains unpaid after 30 days, the Coach may end the Client's programme under Section IV.3, and all remaining instalments become due immediately.
- II.4.5
The Client must not raise a chargeback or payment dispute for services already received. Any billing concern should be raised with the Coach first.
- II.4.1
III. Scope of Services
The Coach will provide the following services for the length of the programme. Anything not listed here is outside the scope of this Agreement.
- III.1
Coaching Services
- III.1.1
Onboarding and kick-off calls
Two (2) video or voice calls. First, an onboarding call to review the Client's goals, history, schedule and preferences. Second, a kick-off call to go through the Client's personalised plans before coaching begins. The kick-off call takes place on the Programme Start Date.
- III.1.2
Personalised training plan
A training programme built for the Client's goals, experience, schedule and available equipment, updated as the Client progresses.
- III.1.3
Weekly check-ins
One check-in per week via WhatsApp text, where the Client submits their progress and the Coach reviews it and adjusts the plan. A call may be arranged when the Coach considers it necessary.
- III.1.4
WhatsApp access
The Client may message the Coach on WhatsApp for questions, support and exercise form checks. The Coach aims to reply within 48 hours on weekdays. WhatsApp support is not an emergency or 24/7 service. For form checks, the Client may send videos of their exercises and the Coach will give feedback on technique. This feedback is based only on the video provided, and does not replace in-person supervision or guarantee that an exercise is safe for the Client.
- III.1.1
- III.2
Diet Planning Services
- III.2.1
Personalised nutrition plan
Calorie and macronutrient targets and practical meal guidance built around the Client's goals, preferences and lifestyle, adjusted based on weekly check-ins.
- III.2.2
Nutrition guidance is general fitness nutrition advice. It is not a medical or clinical diet, and it is not a substitute for advice from a doctor or registered dietitian.
- III.2.1
- III.3
App Usage
- III.3.1
The Client will be given access to the VhoFit progress-tracking app (Vinnie) for the length of the programme, to log training, nutrition and progress.
- III.3.2
The app is provided as-is. The Coach will make reasonable efforts to keep it working, but does not guarantee it will be available at all times or free from errors. If the app is unavailable, check-ins continue through WhatsApp.
- III.3.3
App access ends when the programme ends, unless the Coach agrees otherwise. The Client may request a copy of their data before the End Date.
- III.3.4
Personal data entered in the app is handled as set out in Section IV.2.
- III.3.5
The Client may be asked to use third-party apps, such as Cronometer for food and macro tracking. These apps are provided by their own developers under their own terms and privacy policies, and the Coach is not responsible for them.
- III.3.1
- III.4
No Guaranteed Results
Results depend on the Client's effort, consistency, health and other factors outside the Coach's control. The Coach does not guarantee any specific result, including weight loss, muscle gain or body composition change.
IV. General Terms
- IV.1
Responsibilities
- IV.1.1
The Coach will
- deliver the services in Section III with reasonable skill and care;
- review each weekly check-in and update the plans when needed;
- give the Client reasonable notice if the Coach is unavailable for more than 3 days (for example, travel or illness);
- keep the Client's information confidential under Section IV.2.
- IV.1.2
The Client will
- pay all fees on time under Section II;
- give accurate and complete information about their health, injuries, medications and history, and tell the Coach promptly about any changes;
- complete weekly check-ins on the agreed day;
- follow the plans at their own discretion and stop exercising and seek medical help if they feel pain, dizziness or any other warning sign;
- communicate respectfully. The Coach may end the Agreement for abusive behaviour.
- IV.1.3
Health and fitness to train
The Client confirms they are in good health and able to take part in exercise and dietary changes. The Client should consult a doctor before starting, especially if they are pregnant, take medication, or have any medical condition or injury. The Coach is not a medical professional, and the services are not medical advice, diagnosis or treatment.
- IV.1.1
- IV.2
Confidentiality and Data
- IV.2.1
The Coach will keep all personal information the Client shares, including health information, progress photos, measurements and messages, confidential. It will only be used to deliver the services.
- IV.2.2
The Coach will not share the Client's information with third parties, except service providers needed to run the programme (such as Stripe for payments, WhatsApp for messaging, and the app's hosting provider) or where required by law.
- IV.2.3
The Coach will not use the Client's name, photos or results in marketing or social media without the Client's separate written consent, which the Client may withdraw at any time.
- IV.2.4
The Client will not share, sell or publish the training plans, nutrition plans or other materials provided by the Coach. These remain the property of VhoFit Limited and are for the Client's personal use only.
- IV.2.5
Personal data is handled in line with the Personal Data (Privacy) Ordinance (Cap. 486) and, where it applies to the Client, UK or EU data protection law. The Client may ask the Coach to delete their data after the programme ends.
- IV.2.1
- IV.3
Termination and Refunds
- IV.3.1
Cooling-off period
The Client may cancel within 14 days of the Effective Date for any reason by emailing the Coach at vhofitness@gmail.com, and will receive a full refund of all payments made, including a deposit. If the Client is paying in instalments, any remaining instalments are also cancelled. This applies to new programmes and renewals. Refunds are made to the original payment method within 14 days of the cancellation. After the 14 days end, the cooling-off period no longer applies and Section IV.3.2 applies.
- IV.3.2
After the cooling-off period
Fees are non-refundable, and any remaining instalments stay due, except as set out in this Section IV.3.
- IV.3.3
Termination by the Coach
The Coach may end this Agreement with written notice if the Client does not pay under Section II.4, behaves abusively, or seriously breaches this Agreement. No refund is due in these cases.
- IV.3.4
If the Coach cannot continue
If the Coach is unable to provide the services due to illness, injury, family emergency or other personal circumstances, the Coach will notify the Client as soon as reasonably possible. For an absence of up to 14 days in total, the End Date will be extended by the length of the absence at no extra cost, and no refund is due. If the absence lasts longer than 14 days, or the Coach cannot continue the programme at all, the Client may choose either to extend the End Date by the time missed, or to receive a refund of the unused portion of the fee on a pro-rata weekly basis with any remaining instalments cancelled. The Coach may offer a qualified substitute coach during an absence only with the Client's agreement. Neither party is liable for delays caused by events outside their reasonable control, such as natural disasters, pandemics or government restrictions, but the options in this clause still apply.
- IV.3.5
Pausing
The Client may request one pause of up to 2 weeks due to injury. The Client must tell the Coach as soon as possible, and the pause must be agreed in writing. Pauses are not available for any other reason. The End Date moves back by the length of the pause. Instalments continue on their normal schedule during a pause.
- IV.3.6
Deposits
A deposit paid under Section II.2.4 is refunded in full if the Client cancels within 14 days of paying it (the cooling-off period in Section IV.3.1). The 14 days count from the day the deposit is paid, not from the Programme Start Date. After those 14 days, the deposit is non-refundable: if the Client cancels or decides not to start the programme, the Coach keeps the deposit and no further instalments are charged. If the Coach cancels the programme before the Programme Start Date, the deposit is refunded in full to the original payment method within 14 days.
- IV.3.1
- IV.4
Assumption of Risk and Indemnification
- IV.4.1
The Client understands that exercise and changes to diet carry inherent risks, including muscle strains, joint injuries, cardiovascular events, and adverse reactions to food or supplements. The Client takes part in the programme voluntarily, performs all exercises and follows all nutrition guidance at their own risk, and is responsible for training within their own limits, using proper equipment, and training in a safe environment. The Coach does not supervise the Client's training in person. To the fullest extent permitted by law, the Coach is not liable for any injury, illness, loss or damage arising from the Client following the training or nutrition plans or acting on form-check feedback, except where caused by the Coach's negligence.
- IV.4.2
The Client agrees to indemnify VhoFit Limited against claims arising from information the Client did not disclose or from the Client's breach of this Agreement.
- IV.4.3
The Coach's total liability under this Agreement is limited to the total fees paid by the Client.
- IV.4.4
Nothing in this Agreement limits liability for death or personal injury caused by negligence, or any liability that cannot be limited by law.
- IV.4.1
- IV.5
Governing Law
This Agreement is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved in the courts of Hong Kong. Both parties will first try to resolve any dispute informally by message or call. Nothing in this Agreement removes any rights the Client has under the mandatory consumer protection laws of the country where they live.
- IV.6
Entire Agreement
This Agreement, together with the payment terms shown at checkout, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations or agreements relating to its subject matter. It may only be modified in writing signed or confirmed by both parties.
- IV.7
Notices
All notices under this Agreement must be delivered in writing by email to the addresses below, or to another address a party designates by written notice. A notice is received on the next business day after sending.

Acceptance and Changes
- 1
By ticking the terms checkbox at checkout and completing payment, the Client confirms they have read, understood and agree to these Terms. A record of this acceptance is kept with the Client's payment.
- 2
VhoFit may update these Terms from time to time. The version in place when the Client completes checkout applies to that programme. Changes do not affect a programme already purchased unless the Client agrees in writing.
